2. Scope

These Terms apply to you as a user when you access Make it Meme through our website or play it, create an account, participate in our community features, or purchase paid memberships (collectively referred to as the "Services"). How we process your personal data is described in detail in our Privacy Policy.

Simply put: These Terms apply to you when you use Make it Meme or related services.

3. Contract Formation

The contract for free use is formed through the actual use of our Services. By using our Services, you accept these Terms of Service. Registration is required for certain features. You are obligated to provide truthful information during registration and update it when changes occur. Registration itself is free and non-binding.

For paid memberships, our General Terms and Conditions additionally apply. Minors may only conclude a paid membership with the consent of their legal guardians.

4. Use of Services

By using our Services, you confirm that you have read and understood these Terms and agree to be bound by them. You also affirm that you are at least 13 years old. If you are under 13 years of age, your legal representative or person with parental responsibility must review these Terms and agree on your behalf. If you do not wish to be bound by these Terms, you may not access or use the Services.

5. Technical Requirements

For the use of our Services, we require current versions of Google Chrome or Safari browsers. The Services are optimized for Windows, macOS, iOS, and Android operating systems. 6. Description of Make it Meme

Make it Meme is an online multiplayer game where players are challenged to create the most entertaining memes using provided templates and captions. Players can participate in various game modes, including public matches, private lobbies, and special events. The game offers both competitive and casual play options.

Game modes:

• Public Lobbies: Available to all users, with mandatory content filtering ("Family Friendly Mode"). Anyone can play and participate in chat.
• Private Lobbies: Available to all users, with optional content filtering and the ability to use custom meme templates (paid membership required).

Social features are a core component of our game. Other players can access your profile information, game statistics, and created memes if you make them public. You can interact with other players through our chat system and participate in community events and competitions.

Simply put: Make it Meme is a multiplayer game where you create memes and share them with other players. You can play in public matches with content filtering or in private lobbies with more customization options.

7. User Account

7.1 Registration and Account Types

You can play Make it Meme without registration. However, you must create a user account to access certain features. You can register using your email address, Google account, or other authentication methods we provide. We offer three types of accounts:

1. Anonymous Users: Can play the game with limited features, no progress saving
2. Registered Users (Free): Access to basic features including chat, friends list, and saved memes
3. Paid Memberships: Additional features according to our General Terms and Conditions

Your account is personal, and you are not authorized to transfer it or grant access to others. You are responsible for maintaining the confidentiality of your login credentials and must notify us immediately if you suspect unauthorized access to your account.

7.2 Free Trials and Promotional Offers

7.2.1 Nature and Eligibility

We may offer eligible users free trials or promotional access ("Trials") to Plus, Premium, or Elite membership features, as well as special discounts, limited-time offers, and other promotions ("Promotional Offers"). These offerings may vary in duration, discount amount, and feature access based on our current marketing initiatives and your eligibility status. Eligibility may be based on various factors including account status, usage patterns, achievement of in-game milestones, participation in specific events, or general promotional campaigns. We reserve the right to determine eligibility criteria at our discretion and may modify these criteria at any time. The specific offer extended to you will be clearly communicated at the time of presentation.

7.2.2 Trial and Promotional Offer Terms

Free Trials are provided without requiring payment information and do not automatically convert to paid memberships. The Trial period will be clearly communicated during activation and automatically expires at the end of the specified period without any further obligation or automatic charges. Upon expiration, your account will revert to standard features without any charge. To continue using premium features after the Trial period, you must actively purchase a paid membership.

Promotional Offers may include percentage discounts, absolute price reductions, extended subscription periods, or other benefits. These offers may be time-limited, restricted to specific subscription tiers, or subject to other conditions that will be clearly communicated during the offer presentation. Promotional Offers requiring payment will clearly indicate the discounted and regular price, duration of the discount, and any conditions for maintaining the promotional rate in future billing periods.

7.2.3 Content Access and Membership Conversion

Content created or uploaded during your Trial period using premium features will become inaccessible but not deleted when the Trial expires. This content will become accessible again if you purchase a compatible paid membership in the future. Saved memes and game statistics accumulated during the Trial will remain in your account according to our standard data retention policies.

We may offer special conversion rates or discounts to users at or after the end of their Trial period. Any conversion to a paid membership requires your explicit action and consent, including providing payment information. Conversion offers may be time-limited as specified in the offer.

7.2.4 Additional Terms and Modifications

User data collected during Trials and Promotional Offers is processed in accordance with our Privacy Policy. We may use your usage patterns to personalize future offers or recommendations.

We reserve the right to modify, suspend, or terminate any Trial or Promotional Offer at our discretion without prior notice. However, active Trials will be honored for their originally communicated duration, and Promotional Offers accepted prior to termination will be honored according to their original terms, except in cases of abuse, technical necessity, or as otherwise permitted by law.

8. Content Guidelines and Community Standards

8.1 User-Generated Content

When using Make it Meme, you can create memes, customize templates, and participate in chat (collectively "User-Generated Content" or "UGC"). All UGC must comply with these Terms and applicable law. You retain ownership of your original content but grant us a worldwide, non-exclusive, royalty-free license to use, modify, publicly display, and distribute such content within our Services.

8.2 Content Restrictions

You agree not to create or share content that:

• Is discriminatory or hateful or incites violence against individuals or groups
• Contains explicit sexual content or excessive violence
• Infringes intellectual property rights, including copyrighted materials and trademarks
• Uses meme templates, images, or other content without appropriate rights or permissions
• Contains personal data of others
• Promotes illegal activities
• Contains commercial advertising without our permission
• Violates applicable German or EU laws

8.3 Content Moderation

We employ both automated and manual moderation systems to ensure a safe environment. Content in public lobbies is automatically filtered through our Family Friendly Mode. We reserve the right to remove content that violates these Terms without prior notice. Repeated violations may lead to account suspension or termination.

Simply put: You can create memes and chat with others, but must follow our rules to keep the community safe and friendly. We can remove inappropriate content.

9. Intellectual Property Rights

9.1 Our Rights

All game elements, including but not limited to the name Make it Meme, logo, game mechanics, design, and software code are protected by copyright and other intellectual property laws. These rights are owned by prealpha UG (haftungsbeschränkt) or our licensors.

9.2 Meme Templates and Third-Party Rights

Many meme templates available in Make it Meme are subject to third-party rights. We provide these templates under fair use principles or appropriate licenses. When using your own templates (may require a paid membership), you must ensure that you are authorized to use such images.

9.3 Reporting Rights Violations

If you believe that content on Make it Meme infringes intellectual property rights, you can send a notice to [email protected]. Please include sufficient information to help us locate and assess the content in question. We will review properly submitted notices in accordance with applicable law.

9.4 User License

We grant you a limited, non-exclusive, non-transferable license to use our Services for personal, non-commercial purposes in accordance with these Terms. This license does not permit you to:

• Copy, modify, or distribute our game code
• Create derivative works based on our Services
• Perform reverse engineering or attempt to extract our source code
• Use our Services for commercial purposes without written permission

We allow the use of our game name, logo, screenshots, and gameplay footage ("Assets") for such purposes, subject to the conditions in this section.

10.2 Permitted Commercial Use

You may use our Assets in Content that:

• Is freely accessible to viewers at the time of consumption
• Contains your own unique contribution (commentary, editing, etc.)
• Uses our game name and trademarks in a subsidiary manner
• Generates revenue through advertising, sponsorship, or platform monetization features

10.3 Restrictions

The following uses are not permitted:

• Distribution through platforms with exclusively paid access
• Sale of physical copies of Content
• Television broadcast without our written permission
• Use suggesting that we endorse or are associated with your Content
• Inclusion of inappropriate or illegal materials
• Use of our Assets in a way that could damage our reputation

10.4 Our Rights

13. Liability and Warranties

13.1 Service Availability

While we strive to maintain constant service availability, we provide Make it Meme "as is" and do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance or updates, typically with advance notice except in emergencies.

13.2 Limitation of Liability

Our liability is limited as follows:

1. We assume unlimited liability for:
   • Damages caused intentionally or through gross negligence
   • Claims under the German Product Liability Act (Produkthaftungsgesetz), where applicable
2. For slight negligence, we are only liable for breaches of material contractual obligations (cardinal obligations). This liability is limited to typical and foreseeable damages. Material contractual obligations are those whose fulfillment is necessary to achieve the purpose of the contract, particularly the core functionality of the game service.
3. Any further liability is excluded.

These limitations also apply to our legal representatives and agents.

13.3 Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your violation of these Terms or misuse of our Services.

Simply put: While we work hard to provide a reliable service, we're not liable for every problem that might occur. However, in cases where we're clearly at fault, we take full responsibility.

14. Changes to the Terms

We may modify these Terms to reflect changes to our Services or legal requirements. Your continued use of our Services after the changes take effect constitutes your acceptance of the modified Terms.

15. Term and Termination of Use

15.1 Duration

These Terms remain in effect during your use of our Services. The term and termination of paid memberships are governed by our General Terms and Conditions.

15.2 Account Suspension and Deletion

We may temporarily suspend or permanently delete your account if:

• You seriously or repeatedly violate these Terms
• We are legally required to do so
• We discontinue the Services
• Unauthorized use of your account is detected

15.3 Consequences of Account Termination

Upon suspension or deletion of your account:

• Your access to paid membership features ends according to our General Terms and Conditions
• You lose access to saved content and game progress
• Provisions regarding intellectual property, liability, and dispute resolution remain in effect

Simply put: You can delete your account at any time. We can suspend or delete accounts if our rules are violated or we are required to do so.

16. Dispute Resolution and Applicable Law

16.1 Applicable Law

These Terms are governed by the laws of the Federal Republic of Germany.

16.2 Dispute Resolution

We strive to resolve disputes amicably. As an EU consumer, you can access the EU's Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr and retain the right to initiate legal proceedings before your local courts.

16.3 Severability Clause

Should any provision of these Terms be found invalid, the remaining provisions shall remain in force.

General Terms and Conditions (GTC)

These General Terms and Conditions (GTC) apply in addition to our Terms of Service exclusively for paid memberships of the Make it Meme platform (hereinafter referred to as "membership" or "paid membership"). A membership can be purchased as Plus, Premium, or Elite subscription. The features and services provided within the membership are hereinafter referred to as "membership features" or "membership services". These GTC govern the contractual relationships between us and all users with an active membership. For free use of our platform, only the Terms of Service apply, which you can find at https://makeitmeme.com/terms.

By purchasing a membership, you accept these GTC. Please read these terms carefully before purchasing a membership.

1. Basic Provisions

1.1 Language and Translations

These GTC are written in German. Translations into other languages are provided for information purposes only. In case of contradictions between the German and translated versions, the German version shall prevail.

1.2 Choice of Law and Jurisdiction

These GTC are subject to German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this applies only to the extent that the protection granted is not withdrawn by mandatory provisions of the law of the state in which the consumer has their habitual residence.

2. Contract Formation and Withdrawal

2.1 Contract Formation

The contract formation for paid memberships proceeds as follows: First, you select the desired subscription on our website. You will then be redirected to our partner Paddle for entering your payment information. By clicking the "Buy now" button, you submit a binding order. The contract conclusion will be confirmed immediately via email.

2.2 Right of Withdrawal and Immediate Service Provision

Our paid subscriptions involve the provision of digital content. With your express consent, we begin providing services immediately after contract conclusion. By consenting to the immediate execution of the contract, you acknowledge that you lose your statutory right of withdrawal upon commencement of contract execution (Section 356(5) of the German Civil Code).

With successful payment and activation of your subscription, the corresponding features are immediately enabled for your account. Due to this immediate service provision and your consent thereto, no right of withdrawal exists.

A separate withdrawal instruction is not required due to the statutory extinction of the right of withdrawal for immediate provision of digital content.

3. Services and Subscriptions

3.1 Subscription Plans

We offer different memberships (Plus, Premium, and Elite) with varying feature sets. The current scope of features for each subscription is described in detail on our product page at https://makeitmeme.com/stonks. We reserve the right to expand or adjust the scope of subscription features if this is advantageous for the customer or necessary due to technical development.

All features specified as "unlimited", extended, or increased capacities are subject to our Fair Use Policy according to GTC Section 3.2 "Fair Use Policy".

Each plan is available as a monthly or annual subscription, with annual subscriptions offering a discount. Current prices and a detailed feature comparison can be found on our Subscription page.

3.2 Fair Use Policy

All described features are subject to our Fair Use Policy. To ensure a stable and fair service for all users, we reserve the right to introduce soft usage limits if individual consumption significantly exceeds typical usage patterns or threatens platform stability. Such limits are evaluated on a case-by-case basis and can be adjusted as needed. We will notify affected users if their usage requires adjustment according to this policy.

3.3 Service Development

We continuously develop our services and adapt them to technical developments. We reserve the right to:

• Add, modify, or discontinue features
• Introduce new features
• Implement alternative technical solutions

This applies provided that:

• It is reasonable for the customer
• The essential character of the subscribed plan remains unchanged
• No additional costs arise for the customer

3.4 Technical Requirements

The use of Membership Features requires a current version of Google Chrome or Safari browsers and a stable internet connection with a minimum speed of 2 Mbit/s. JavaScript must be enabled and cookies must be allowed for full functionality.

3.5 Plan Switching

3.5.1 Switching Between Membership Plans

You may switch between different membership plans (Plus, Premium, Elite) or billing cycles (monthly, annual) subject to the terms outlined below. By initiating a plan switch, you agree that this constitutes a modification of the existing contract between you and us.

3.5.2 Waiver of Revocation Rights

When initiating a plan switch, you expressly consent to the immediate provision of digital content. In accordance with §356(5) of the German Civil Code (BGB), you acknowledge that by consenting to immediate access to the modified subscription features, you lose your statutory right of withdrawal (Widerrufsrecht). This applies to both upgrades and downgrades.

3.5.3 Switching Rules and Timing

For monthly subscriptions:

1. Downgrades: Plan downgrades take effect at the end of the current billing period. No prorated refunds are provided.
2. Upgrades: Plan upgrades take effect immediately. The price difference between plans will be charged immediately.
3. Switch from monthly to annual: Takes effect immediately. The remaining value of your current monthly period will be credited towards your annual subscription.

For annual subscriptions:

1. Downgrades: Plan downgrades take effect at the end of the current annual billing period. No refunds or mid-term changes are provided.
2. Upgrades: Plan upgrades take effect immediately. The price difference (prorated for the remaining months) will be charged immediately.
3. Switch from annual to monthly: Takes effect at the end of the current annual billing period. No refunds or mid-term changes are provided.

3.5.4 Contract Period Implications

1. Upgrades and switches from monthly to annual do not reset your contract period but modify your existing subscription. The billing date will be adjusted accordingly.
2. Downgrades that take effect at the end of the current billing period will maintain your original billing cycle date.
3. For annual subscriptions, plan changes that take effect at the end of the current period will establish a new contract period beginning on that date.

3.5.5 Plan Switching Process

Plan switches are processed by our Merchant of Record, Paddle.com Market Limited, according to their terms and conditions. We do not guarantee immediate processing of plan switches, as this may depend on Paddle's processing times and technical factors beyond our control.

3.5.6 Documentation of Changes

Upon completion of a plan switch, you will receive a confirmation email detailing the changes to your subscription, including the new plan features, adjusted billing amount, and next billing date. This documentation serves as confirmation of the modified contract terms.

3.5.7 Pricing and Billing

All displayed prices include the applicable Value Added Tax (VAT) or similar consumption taxes for your region. The displayed price for a plan switch represents an estimate based on current rates and prorated calculations. The final amount charged may differ slightly due to:

1. Currency conversions and exchange rate fluctuations
2. Rounding differences in prorated calculations
3. Changes in applicable tax rates or tax jurisdiction determination
4. Technical limitations in precise proration calculations

The final price calculated by Paddle at the time of processing is legally binding. For transactions in currencies other than Euro, the exchange rate applied by Paddle at the time of billing is decisive.

3.5.8 Limitation on Plan Switching

We reserve the right to limit the frequency of plan switches to prevent abuse. Excessive plan switching within short time periods may be considered a violation of these terms and could result in restrictions on your account's ability to switch plans or, in severe cases, termination of your membership.

3.5.9 Effect on Features and Content

When upgrading, additional features become available immediately. When downgrading, you retain access to higher-tier features until the end of your current billing period. Any content created using premium features (such as custom templates) will become inaccessible but not deleted if you downgrade to a plan that does not include those features. This content will become accessible again if you upgrade in the future.

3.5.10 Data Processing for Plan Switches

Processing a plan switch involves the transmission of updated subscription information between our systems and Paddle's payment processing systems. This data processing is necessary for the performance of the contract and takes place in accordance with our Privacy Policy. No additional personal data beyond what is already being processed for your existing subscription will be collected during a plan switch.

4. Prices and Payment

4.1 Prices and Currencies

For payments in other currencies, displayed prices may change due to exchange rate fluctuations. The price valid in the respective currency at the time of debiting is decisive.

4.2 Payment Processing

Payments for Make it Meme subscriptions are processed through Paddle (Paddle.com Market Limited), our commercial agent. When making a purchase, you enter into a transaction directly with Paddle, which handles payment processing, tax calculation, and invoicing on our behalf. Transactions will appear on your bank/card statement as "PADDLE.NET*MAKEITMEME" or similar Paddle identifier.

Current prices and payment terms can be found in our price overview at https://makeitmeme.com/stonks. We reserve the right to change prices with reasonable notice. Already running subscriptions are not affected by price changes until the end of the current billing period.

The total price is due immediately upon contract conclusion. Payment is made in advance for the respective billing period.

You can manage your subscription in various ways

• Through your Make it Meme account settings
• Through the Paddle customer portal via the link in your purchase confirmation email
• By contacting our support team at [email protected]

Paddle accepts various payment methods including credit cards, PayPal, and other regional payment options. All displayed prices include applicable VAT or similar sales taxes for your region, which Paddle calculates based on your location. Additional bank fees, such as currency conversion fees or international transaction fees, may be charged by your financial institution and are your responsibility.

By making a purchase, you agree to Paddle's Terms of Service and Privacy Policy (https://www.paddle.com/legal/terms). While Paddle handles payment processing, we remain responsible for providing the subscription services you purchased.

4.3 Price Adjustments

We strive to avoid price adjustments for existing customers and only implement them when absolutely necessary due to increased operating costs or technical developments. In case of a necessary price adjustment during ongoing subscriptions: We will inform you via email at least six weeks before the price change takes effect about the planned adjustment. You then have a special right of termination until the time the price increase takes effect. If you do not exercise this special right of termination, the new price applies from the next billing period. We automatically pass on price reductions to you and implement these from the next billing period.

5. Contract Duration

5.1 Subscription Terms and Notice Periods

Your subscription automatically renews unless cancelled before the next billing period. The minimum contract term for monthly payments is one month, for annual payments twelve months. You can cancel your subscription at any time with a notice period of one day before the end of the current billing period through your account settings or the Paddle customer portal. The cancellation becomes effective at the end of the current billing period. No pro-rata refund of amounts already paid will be made.

5.2 Changes to Terms and Conditions

Changes to these Terms and Conditions will be offered to you in text form (e.g., via email) no later than six weeks before their proposed effective date. You have the option to either approve or reject the changes before their proposed effective date. Your approval is considered granted if you have not indicated your rejection before the proposed effective date of the changes. We will specifically draw your attention to this approval effect in our change offer.

If you reject the changes, we will continue the contract under the previous terms if possible. If the changes are mandatory, for example due to legal requirements or substantial technical changes to our services, we reserve the right to terminate the contract with proper notice.

In the event of a change to the Terms and Conditions, you have the right to terminate the contract without notice and free of charge before the proposed effective date of the changes. We will explicitly inform you of this right of termination in our change offer.

6. Rights and Obligations

6.1 Availability of Membership Services

We strive to make the features of the paid membership available without interruption. We cannot technically guarantee 100% availability. Maintenance work that may affect the availability of Membership Services will be announced in advance where possible.

6.2 Warranty

We warrant that the features of the paid membership function substantially as described. If defects occur, you are entitled to subsequent performance. Should subsequent performance fail, you may reduce the price or withdraw from the contract.

6.3 Liability for Membership Services

Our liability is limited to typical and foreseeable damages and is capped at the amount you paid for the respective billing period.

We are only liable for slight negligence in case of breach of essential contractual obligations (cardinal obligations). Essential contractual obligation in this context exclusively means the basic technical availability of the Membership Features.

Any further liability is excluded. This also applies to our legal representatives and agents.

We are not liable for loss of data and/or programs if the damage is due to your failure to perform adequate data backup.

6.4 Liability for Payment Processing

We are only liable for disruptions in payment processing by our payment service provider Paddle Market Limited in cases of intent or gross negligence on our part. Paddle is liable according to its own terms and conditions.

6.5 Force Majeure

Should events of force majeure substantially impede or make impossible the provision of our services, we are released from the obligation to perform for the duration of the disruption and to the extent of its effect.
